Marketplace Seller Agreement

1. Introduction

Welcome to The Plug Corner Marketplace.

This Marketplace Seller Agreement ("Agreement") governs the relationship between The Plug Corner (Pty) Ltd ("The Plug Corner", "we", "our" or "us") and any individual or business ("Seller", "you" or "your") wishing to sell products through The Plug Corner Marketplace.

By creating a Seller Account, accepting this Agreement electronically, or listing products for sale on The Plug Corner, you agree to be legally bound by this Agreement and all Marketplace Policies published by The Plug Corner.

2. Our marketplace

The Plug Corner provides an online marketplace where independent sellers can advertise and sell products to buyers.

The Plug Corner is not the manufacturer or owner of products listed by independent sellers unless explicitly stated otherwise.

Our role includes:

• Providing the marketplace platform.
• Facilitating secure payments.
• Supporting buyers and sellers.
• Assisting with dispute resolution.
• Maintaining marketplace standards.

3. Seller registration

Anyone may register for a Seller Account.

Creating a Seller Account does not automatically grant permission to sell products.

The Plug Corner reserves the right to review, approve, reject, suspend or terminate any Seller Account at its sole discretion.

Certain marketplace features may remain unavailable until the Seller has completed any required verification processes.

4. Verification

To maintain the integrity of our marketplace, The Plug Corner may request documentation before allowing a Seller to publish listings, receive payouts or continue trading.

This may include:

• Proof of identity.
• Business registration documents.
• Banking information.
• Proof of bank account.
• Proof of address.
• Product authorisation or ownership documentation.
• Tax information where applicable.
• Any additional information reasonably required by The Plug Corner, payment providers or applicable law.

Verification may be conducted during registration, before payouts or at any time while using the marketplace.

Failure to provide requested information may result in listing restrictions, payout delays or account suspension.

5. Seller responsibilities

The Seller agrees to:

• Provide accurate business information.
• Maintain accurate product listings.
• Ensure pricing is correct.
• Maintain accurate stock availability.
• Fulfil accepted orders promptly.
• Communicate professionally with buyers.
• Comply with all Marketplace Policies.
• Comply with all applicable South African laws.

6. Product listings

The Seller warrants that:

• They own or are legally authorised to sell every product listed.
• Product descriptions are accurate.
• Product images fairly represent the products being sold.
• Products comply with all applicable laws and regulations.
• Products do not infringe any intellectual property rights.

The Seller accepts full responsibility for the accuracy of their listings.

7. Delivery preferences

During Seller onboarding, Sellers may choose one or more fulfilment methods offered through The Plug Corner Marketplace.

Available delivery methods include:

Seller delivery

The Seller fulfils and delivers orders using their preferred courier or delivery service.

The Plug Corner delivery

The Seller authorises The Plug Corner to coordinate collection and delivery using approved logistics partners.

Collection

The Seller allows buyers to collect products directly from an agreed collection location.

Digital delivery

Digital products are delivered electronically.

Sellers are responsible for ensuring that their selected delivery methods remain accurate and available.

Delivery preferences may be updated through the Seller Dashboard, subject to approval by The Plug Corner where applicable.

8. Orders

When an order is placed, the Seller agrees to:

• Prepare the order within the stated processing time.
• Package products appropriately.
• Dispatch or prepare the order for collection.
• Notify The Plug Corner of any delays.
• Cooperate in resolving customer enquiries.

If the Seller is unable to fulfil an order, they must notify The Plug Corner as soon as reasonably possible.

9. Refunds, exchanges and buyer protection

The Seller agrees to comply with:

• The Plug Corner Shipping Policy.
• The Plug Corner Refund Policy.
• The Plug Corner Exchange Policy.
• The Plug Corner Buyer Protection Policy.

Where the Seller supplies an incorrect, defective or damaged product, the Seller is responsible for resolving the issue in accordance with those policies.

Where a Seller is responsible for an approved return, the Seller is responsible for the reasonable cost of return shipping.

10. Payments

The Plug Corner will collect payments from buyers on behalf of Sellers.

Seller payouts are subject to:

• Successful payment collection.
• Marketplace commissions and fees.
• Fraud prevention measures.
• Payment provider requirements.
• Verification requirements.
• Chargebacks or payment disputes.
• Any other lawful deductions communicated to the Seller.

Payout schedules are published separately and may be updated from time to time.

11. Marketplace standards

Sellers agree to:

• Conduct business honestly and professionally.
• Respond promptly to customer enquiries.
• Respect buyers.
• Avoid misleading advertising.
• Keep listings up to date.
• Deliver products that match their descriptions.

Repeated failure to meet marketplace standards may result in account restrictions or suspension.

12. Prohibited products

Sellers may not list products that:

• Are illegal.
• Are counterfeit.
• Infringe trademarks, copyrights or other intellectual property rights.
• Are stolen.
• Are unsafe or recalled.
• Are prohibited under South African law.
• Breach The Plug Corner Marketplace Policies.

The Plug Corner reserves the right to remove any listing without prior notice.

13. Intellectual property

The Seller confirms they own or have permission to use:

• Product photographs.
• Logos.
• Product descriptions.
• Marketing material.
• Brand assets used in listings.

The Seller indemnifies The Plug Corner against any claims arising from intellectual property infringement caused by the Seller.

14. Account suspension or termination

The Plug Corner may suspend or terminate a Seller Account where the Seller:

• Provides false information.
• Breaches this Agreement.
• Repeatedly fails to fulfil orders.
• Engages in fraudulent activity.
• Sells prohibited products.
• Fails verification requirements.
• Damages the reputation or integrity of the marketplace.

Where appropriate, Sellers may be given an opportunity to remedy the breach before permanent termination.

15. Limitation of liability

The Plug Corner provides the technology platform through which buyers and sellers transact.

Except where required by applicable law, The Plug Corner is not responsible for:

• Manufacturing defects.
• Product quality.
• Seller inventory.
• Seller warranties.
• Indirect or consequential losses arising from transactions between buyers and independent sellers.

Nothing in this Agreement limits or excludes any rights or obligations imposed by applicable South African law.

16. Amendments

The Plug Corner may amend this Agreement from time to time.

Material changes will be communicated through the Seller Dashboard, email or other appropriate means.

Continued use of the Marketplace after the effective date of any amendments constitutes acceptance of the updated Agreement.

17. Governing law

This Agreement is governed by the laws of the Republic of South Africa.

Any disputes arising under this Agreement shall be subject to the jurisdiction of the South African courts.

18. Acceptance

By selecting "I Agree", creating a Seller Account, or listing products on The Plug Corner Marketplace, you acknowledge that:

• You have read and understood this Agreement.
• You agree to be legally bound by its terms.
• You agree to comply with all Marketplace Policies published by The Plug Corner.
• You confirm that all information provided during registration is accurate and complete.
